Terms & Conditions

Terms & Conditions - the basics

**Effective date: July 20, 2026**

These Terms and Conditions (“Terms”) are a binding agreement between you and LivestockDoc, Inc., a Delaware corporation (“LivestockDoc,” “Company,” “we,” “us,” or “our”). They govern your access to and use of the LivestockDoc™ website, application, software, portals, subscriptions, content, calculators, records, communications, and related services, collectively referred to as “LSD™” or the “Services.”

1. Acceptance of these Terms

By creating an account, clicking or tapping a button indicating acceptance, purchasing a subscription, or accessing or using the Services after being presented with these Terms, you agree to be bound by them. If you use the Services for a farm, veterinary practice, company, school, organization, or other entity, you represent that you have authority to bind that entity. In that situation, “you” includes both you individually and the entity. If you do not agree to these Terms, do not create an account, purchase a subscription, or use the Services. The following policies are incorporated into these Terms by reference: - The LivestockDoc™ Privacy Policy; - The LivestockDoc™ Website and Veterinary Disclaimer; and - The LivestockDoc™ Subscription, Automatic Renewal, Cancellation and Refund Policy. If subscription terms displayed at checkout conflict with these Terms, the checkout terms control only with respect to the specific price, billing frequency, subscription duration, and promotional offer presented and accepted at checkout. Nothing in these Terms limits rights that cannot legally be waived.

2. Eligibility You must be at least 18 years old and legally capable of entering a binding agreement to use the Services. LSD™ is not directed to children. You may not use the Services if you are prohibited from doing so by applicable law or if we previously suspended or terminated your access for a material violation of these Terms, unless we give you written permission to return.

3. The Services

LSD™ provides livestock health information, recordkeeping, calculators, scheduling and treatment-tracking tools, triage and decision support, communication features, and other resources intended to help livestock owners, caretakers, veterinary professionals, and authorized team members organize information and make more informed decisions. We may add, remove, improve, limit, suspend, or modify features. We will provide notice when required by law or when a material change significantly reduces a paid Service. Some features may be identified as pilot, beta, preview, experimental, or subject to separate terms. LSD™ is designed for animal-related use only. It must not be used to diagnose, treat, or make decisions concerning human health.

4. Veterinary and animal-health limitations

LSD™ provides information and decision support. It does not replace a licensed veterinarian, an in-person examination, diagnostic testing, or professional veterinary judgment. Information or results produced by LSD™ are not a confirmed diagnosis, prescription, individualized veterinary treatment order, or guarantee of outcome. Using LSD™, entering information, uploading photographs or records, receiving automated guidance, or reviewing veterinarian-reviewed content does not, by itself, establish a veterinarian-client-patient relationship (“VCPR”). LSD™ does not independently practice veterinary medicine, prescribe medication, or dispense drugs. Veterinary review of general content does not mean that the reviewing veterinarian has examined, diagnosed, treated, or accepted professional responsibility for a particular animal. If a veterinarian communicates with a user through an LSD™ portal, any VCPR is between that veterinarian and the client and must be established and maintained in accordance with applicable law. Your use of the Services is also subject to the LivestockDoc™ Website and Veterinary Disclaimer, which is incorporated into these Terms.

5. Emergencies

LSD™ is not an emergency veterinary service and does not continuously monitor animals, accounts, messages, or submitted information. If an animal is in distress, rapidly worsening, or may be experiencing an emergency, contact a licensed veterinarian or veterinary emergency service immediately. Do not wait for an LSD™ response or delay emergency care while using the Services. You are responsible for maintaining an independent plan for obtaining veterinary assistance when LSD™ or internet service is unavailable.

6. Accounts and security

You agree to provide accurate, current, and complete registration and account information and to keep it updated. You are responsible for: - Maintaining the confidentiality of your password and access credentials; - Using appropriate device and account security; - All activity occurring through your account, except activity caused by a security failure for which LSD™ is legally responsible; - Promptly notifying us of suspected unauthorized access or security incidents; and - Ensuring that each person accessing your farm or practice account uses an authorized individual login when individual accounts are available. You may not share credentials with an unauthorized person or allow another person to impersonate you. We may require identity, account, professional-license, or organizational verification when reasonably necessary for security, legal compliance, or access to restricted features.

Farm and organization accounts

An account owner or administrator may authorize additional users and assign permissions. The account owner is responsible for managing access, removing former workers or contractors, and confirming that authorized users have appropriate permission to view, enter, change, export, or share information. Actions taken by an authorized team member may affect shared animal records, schedules, treatment histories, and communications. Account owners are responsible for establishing internal procedures for reviewing and correcting team entries.

7. User responsibilities

You remain responsible for animal-care, treatment, management, food-safety, and business decisions. You agree to: - Provide complete and accurate animal and treatment information; - Review LSD™ output before relying on it; - Monitor animals and respond appropriately to changes; - Seek professional veterinary assistance when reasonably indicated; - Follow applicable animal-welfare, veterinary-practice, prescription, controlled-substance, food-safety, identification, transport, and reportable-disease laws; - Maintain any independently required veterinary, treatment, regulatory, or food-production records; and - Use the Services only in a lawful, humane, and responsible manner. You must not use LSD™ output to justify delaying necessary veterinary care, performing a procedure beyond your competence or authority, or engaging in unlawful or inhumane conduct.

8. Medication, calculations, and food-animal requirements

Medication references, dosage ranges, calculators, treatment-plan content, and withdrawal-time information are decision-support resources only. They are not prescriptions or authorization to administer a drug. Before administering medication, you are responsible for confirming the animal, species, weight, diagnosis or clinical rationale, product, formulation, concentration, dose, units, route, frequency, duration, contraindications, interactions, adverse effects, storage requirements, and all applicable withdrawal, withholding, or discard times with a licensed veterinarian and the current product label, as applicable. Prescription drugs must be used only as legally authorized. Extra-label use in food-producing animals may occur only under lawful veterinary direction within a valid VCPR and in compliance with applicable law. Some extra-label uses are prohibited. You are responsible for ensuring that no animal or animal-derived product enters the human food supply before every legally required meat, milk, egg, or other withdrawal, withholding, or discard period has ended. LSD™ calculations and records do not replace current labeling, veterinary instructions, reliable residue-avoidance guidance, or legally required records.

9. Veterinary professionals and students

If you use LSD™ as a veterinarian or other regulated professional, you represent that you hold all licenses, registrations, and authority required for the services you provide and the jurisdictions in which you provide them. You are independently responsible for: - Establishing and maintaining any required VCPR; - Determining whether remote care is legally and professionally appropriate; - Exercising independent professional judgment; - Obtaining informed consent when required; - Diagnosing, prescribing, treating, referring, and maintaining records in accordance with law and professional standards; and - Complying with licensing, telemedicine, prescribing, controlled-substance, privacy, and reporting obligations. LSD™ does not direct or control a veterinarian’s professional judgment. Unless a separate written agreement expressly states otherwise, veterinarians accessible through the Services are independent professionals and are not employees, agents, or representatives of LivestockDoc, Inc. Veterinary students and other trainees may use only the functions permitted by law, their institution, and their supervising professionals. Access to LSD™ does not authorize a student or unlicensed person to diagnose, prescribe, independently treat, or practice veterinary medicine.

10. Subscriptions, billing, cancellation, and refunds

Automatic renewal Paid subscriptions are billed in advance on the monthly or annual schedule disclosed at checkout. Unless canceled, subscriptions automatically renew for successive periods of the same duration at the price disclosed at enrollment or at a properly disclosed and accepted new price. Before charging you, LSD™ will clearly disclose the price, billing frequency, renewal term, cancellation deadline, cancellation method, and any promotional or trial terms and will obtain the affirmative consent required by applicable law.

Cancellation

You may cancel at any time. If you subscribe online, you may cancel entirely online through **Account → Billing → Cancel Subscription**. Cancellation stops future automatic renewal. Unless a refund is issued or law requires otherwise, paid access continues until the end of the current billing period.

Refunds Payments

are generally nonrefundable, and LSD™ does not ordinarily provide prorated refunds or credits for partially used billing periods. Exceptions, legally required refunds, price-increase protections, annual reminders, and trial notices are described in the LivestockDoc™ Subscription, Automatic Renewal, Cancellation and Refund Policy.

Price changes

We will provide advance notice of subscription fee increases and obtain consent when required. If LSD™ charges an increased subscription price without first obtaining affirmative consent, directly billed customers may cancel within at least 14 days after the increased charge and receive a prorated refund for the unused remainder of the subscription period.

Taxes and failed payments

Prices may exclude taxes. You are responsible for applicable sales, use, value-added, or similar taxes, excluding taxes based on our net income. If a payment fails, we may retry the authorized payment method, ask you to update payment information, limit paid features, or suspend access after providing any notice or grace period required by law. You remain responsible for charges validly incurred before cancellation or suspension.

App-store purchases

Subscriptions purchased through the Apple App Store or Google Play are billed, managed, and refunded through the applicable store, subject to its procedures and applicable law.

11. Limited license

Subject to these Terms and payment of applicable fees, LSD™ grants you a limited, revocable, nonexclusive, nontransferable, non-sublicensable license to access and use the Services for your own lawful farm, animal-care, educational, or veterinary-practice purposes during the applicable subscription or authorized access period. No ownership interest in LSD™ or its content is transferred to you.

12. Prohibited conduct

You may not, and may not assist another person to: - Use the Services unlawfully, fraudulently, deceptively, or in a manner that harms animals or people; - Use LSD™ to diagnose, treat, or make decisions concerning humans; - Provide veterinary services without required licensing, authorization, supervision, or a lawful VCPR; - Circumvent safety warnings, access controls, subscription controls, rate limits, or security measures; - Access another farm, practice, user, or animal record without authorization; - Upload malicious code or interfere with the security, operation, or availability of the Services; - Scrape, crawl, harvest, copy, or systematically extract data or content except through an authorized export feature; - Reverse engineer, decompile, disassemble, or attempt to discover source code, models, prompts, algorithms, or nonpublic system design, except to the limited extent such restriction is prohibited by law; - Copy, sell, sublicense, redistribute, publish, or commercially exploit LSD™ content or output except as expressly permitted; - Use LSD™ content, output, data structures, or workflows to develop, train, evaluate, improve, or operate a competing product, model, dataset, or service; - Remove or alter copyright, trademark, confidentiality, attribution, or proprietary notices; - Impersonate another person or misrepresent qualifications, affiliation, authority, or animal information; - Upload content you do not have the right to use or share; or - Use the Services in a way that creates unreasonable risk, excessive load, or disruption. We may investigate suspected violations and cooperate with lawful regulatory, animal-health, public-health, or law-enforcement requests.

13. User content and animal records

“User Content” includes animal records, photographs, videos, audio, documents, messages, notes, treatment information, farm information, and other material submitted to the Services by or for you.

Ownership

As between you and LivestockDoc, Inc., you retain ownership of your User Content. You grant LSD™ a limited, worldwide, nonexclusive license to host, store, reproduce, process, transmit, display, format, back up, and otherwise use User Content only as reasonably necessary to provide, secure, support, maintain, and improve the Services; comply with your instructions; enforce these Terms; and satisfy legal obligations.

Your permissions and responsibilities

You represent that you have all rights and permissions necessary to submit User Content and authorize its use under these Terms. You are responsible for ensuring that photographs, communications, documents, employee information, veterinary records, and third-party information are collected and shared lawfully. When you instruct LSD™ to share information with a veterinarian, employee, buyer, laboratory, practice, or other recipient, you authorize LSD™ to transmit the selected information to that recipient. You are responsible for selecting the correct recipient and scope of information. LSD™ does not guarantee that a recipient will review or act on shared information.

Aggregated and de-identified information

Subject to the Privacy Policy and applicable law, LSD™ may create and use aggregated or de-identified information that does not reasonably identify you, an individual, or a particular farm to operate, secure, analyze, validate, research, and improve the Services. LSD™ will not attempt to reidentify information maintained as de-identified except as permitted by law to test or improve de-identification safeguards.

Feedback

If you voluntarily provide suggestions, ideas, or feedback about LSD™, you grant LivestockDoc, Inc. a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation. This does not transfer ownership of your animal records or other User Content.

14. Privacy and security

Our collection and use of personal information are described in the LivestockDoc™ Privacy Policy. You agree to review that policy before using the Services. LSD™ uses safeguards intended to protect accounts and information, but no internet, cloud, or electronic system can be guaranteed completely secure or continuously available. You are responsible for using strong credentials, protecting devices, managing permissions, and retaining independent copies of records needed for emergencies, regulatory compliance, insurance, transport, sale, or food safety. If you use the Services to collect or manage information about employees, clients, students, veterinarians, or other individuals, you are responsible for providing legally required notices and obtaining legally required permissions.

15. Electronic communications

You agree that we may send account, security, billing, renewal, clinical-workflow, policy, and service communications electronically, including by email, in-app notice, or another channel you select. Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by law. Marketing communications are optional, and you may unsubscribe from them. Opting out of marketing does not prevent essential account, transaction, safety, or legal communications. Text messages will be sent only with any consent required by applicable law and may be subject to carrier charges.

16. Third-party services and independent professionals

The Services may link to or integrate with veterinarians, laboratories, pharmacies, payment processors, app stores, retailers, manufacturers, educational resources, software providers, or other third parties. Third-party products and services are governed by their own terms and policies. Unless expressly stated, LivestockDoc, Inc. does not control, employ, supervise, endorse, or guarantee third parties or their advice, licensing, availability, products, or conduct. LSD™ is not responsible for loss caused by a third party except to the extent responsibility cannot legally be excluded. If LSD™ may receive compensation through an affiliate link or commercial relationship, LSD™ will clearly disclose that relationship near the applicable recommendation or link as required by law.

17. Intellectual property and trademarks

The Services—including software, interface design, workflows, databases, visual elements, text, graphics, audio, video, calculations, compilations, and other content supplied by LSD™—are owned by LivestockDoc, Inc. or its licensors and are protected by intellectual-property and unfair-competition laws. LivestockDoc™ and LSD™ are trademarks of LivestockDoc, Inc. Other names and marks belong to their respective owners. You may not use LivestockDoc, Inc. branding in a manner that suggests sponsorship, endorsement, affiliation, or permission without prior written authorization.

18. Pilot, beta, and preview features

Features identified as pilot, beta, preview, experimental, early access, or pre-release may be incomplete, changed, interrupted, or withdrawn at any time. They may contain errors and should not be relied upon as the sole basis for animal-care, veterinary, regulatory, or business decisions. We may request feedback and impose additional testing, confidentiality, usage, or access conditions for such features. If separate pilot terms conflict with these Terms, the separate pilot terms control for the applicable pilot.

19. Suspension and termination By you

You may stop using the Services at any time and may cancel a paid subscription as described in Section 10. Deleting an application from a device does not necessarily cancel a subscription. ### By LSD™ We may restrict, suspend, or terminate access if we reasonably believe that: - You materially violated these Terms; - Your use creates a security, legal, animal-welfare, public-health, or safety risk; - You failed to pay valid charges; - You used the Services fraudulently or without authorization; - Suspension is required by law or a valid governmental request; or - Continuing the Services has become unlawful or technically impracticable. When reasonably possible, we will provide notice and an opportunity to cure a remediable violation. We may act immediately when necessary to protect animals, people, users, information, systems, or legal compliance.

Effect of termination

Termination ends your right to use the affected Services. It does not automatically entitle you to a refund. Before access ends, you should export records you are entitled to retain. Data retention, deletion, and legally required preservation are governed by the Privacy Policy and applicable law. Provisions that by their nature should survive termination will survive, including ownership, intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute provisions, and miscellaneous terms.

20. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LSD™ AND ALL CONTENT, OUTPUT, CALCULATORS, RECORDS, ALERTS, COMMUNICATIONS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LIVESTOCKDOC, INC. DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY PARTICULAR CLINICAL, PRODUCTION, REPRODUCTIVE, FINANCIAL, OR OTHER OUTCOME.** LSD™ does not warrant that the Services will be uninterrupted, error-free, secure, current, or appropriate for every animal, farm, veterinarian, jurisdiction, or purpose. No oral or written statement creates a warranty not expressly stated in these Terms. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

21. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVESTOCKDOC, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, CONTENT REVIEWERS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, HARM, CLAIM, INJURY, OR DAMAGE ARISING OUT OF OR RELATING TO THE USE OF, INABILITY TO USE, MISUSE OF, OR RELIANCE ON LSD™ OR ANY CONTENT, CALCULATION, RECORD, ALERT, SUGGESTION, COMMUNICATION, OR SERVICE.** This limitation includes, without limitation: - Human bodily or personal injury, illness, disability, or death; - Animal injury, illness, pain, suffering, reproductive harm, death, or loss; - Delayed, missed, incomplete, or incorrect diagnosis or treatment; - Medication errors, dosage errors, adverse drug events, interactions, contraindications, or treatment complications; - Meat, milk, egg, or other food-product residue violations; - Property damage, disease transmission, biosecurity events, or harm to a herd or flock; - Lost animals, production, reproduction, income, profits, business opportunities, data, or records; - Regulatory, reporting, quarantine, transport, sale, or food-safety consequences; and - Direct, indirect, incidental, special, consequential, exemplary, or punitive damages. This limitation applies whether a claim is based in contract, tort—including ordinary negligence—strict liability, statute, or another legal theory and even if the harm was foreseeable or LSD™ was advised that it could occur. To the fullest extent permitted by law, if LivestockDoc, Inc. is found liable despite these limitations, its total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid directly to LivestockDoc, Inc. for the Services during the 12 months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100). The exclusions and cap do not apply to fraud, willful injury or misconduct, gross negligence, unlawful conduct, or any liability, right, or remedy that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain warranty exclusions, damage exclusions, or liability limitations, so some provisions may not apply to you.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LivestockDoc, Inc., its officers, directors, employees, contractors, content reviewers, licensors, and service providers from third-party claims, damages, losses, liabilities, judgments, penalties, fines, costs, and reasonable legal fees arising from or relating to: - Your unlawful, negligent, or unauthorized use of the Services; - Your User Content or your lack of rights or permissions for that content; - Your animal-care, medication, food-safety, veterinary, employment, or business decisions; - Your violation of these Terms or applicable law; - Your infringement or violation of another person’s rights; or - The acts or omissions of people you authorize to use your account. This obligation does not apply to the extent a claim was caused by conduct for which LivestockDoc, Inc. cannot legally disclaim responsibility. We will provide reasonable notice of an indemnified claim and may control its defense and settlement. You may not settle a claim in a manner that admits fault by or imposes obligations on LivestockDoc, Inc. without our written consent.

23. Disputes, governing law, and venue

Informal resolution Before filing a lawsuit, you and LivestockDoc, Inc. agree to make a good-faith effort to resolve the dispute informally. A written dispute notice should describe the issue, relevant account, requested resolution, and contact information and should be sent to **info@livestockdoc.farm**. The receiving party will have 30 days to respond before either party files suit, unless immediate relief is reasonably necessary, a legal deadline would expire, or law prohibits requiring this process. ### Governing law These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except that the laws of your place of residence will apply to the extent they provide consumer rights that cannot legally be waived. ### Courts and venue Except where applicable law permits you to bring a claim elsewhere, any lawsuit arising from or relating to these Terms or the Services must be brought exclusively in the state courts located in Albany County, New York, or the United States District Court for the Northern District of New York. You and LivestockDoc, Inc. consent to the personal jurisdiction of those courts. These Terms do not require arbitration and do not waive any right to a jury trial or participation in a class action that may otherwise exist.

24. Changes to these Terms

We may update these Terms to reflect changes in the Services, law, security, or business practices. We will post the updated Terms with a revised effective date and provide clear notice of material changes in a retainable form when required by law. If legally required, we will obtain affirmative consent before applying a material change. Otherwise, continued use after the effective date of properly notified updated Terms constitutes acceptance. Changes will not retroactively reduce rights or increase payment obligations without any consent required by law.

25. Miscellaneous

Entire agreement These Terms and the policies incorporated by reference form the entire agreement between you and LivestockDoc, Inc. concerning the Services, except for a separate written agreement expressly stating that it supersedes these Terms.

Severability If a provision is found unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A court may modify an unenforceable provision only to the extent necessary to make it enforceable, unless applicable law requires a different result.

No waiver Failure to enforce a provision is not a waiver. A waiver is effective only if in writing and signed by an authorized representative of the waiving party.

Assignment You may not assign or transfer these Terms or your account without our written consent. LivestockDoc, Inc. may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or operation of law, subject to applicable consumer and privacy rights.

Force majeure LivestockDoc, Inc. is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, disease outbreaks, war, civil disturbance, labor disruption, internet or utility failure, cyberattack, government action, or third-party infrastructure failure. This provision does not excuse obligations that cannot legally be excused.

No third-party beneficiaries These Terms do not create enforceable rights for anyone other than you and LivestockDoc, Inc., except where expressly stated.

Headings Headings are for convenience and do not affect interpretation.
